Advisor to Færch Holding in connection with the sale of the company’s 15 % ownership in Skandinavisk Holding

ATRIUM has advised Færch Holding in connection with the sale of the company’s 15 % ownership in Skandinavisk Holding to C.W. Obel and the Augustinus Foundation.

Skandinavisk Holding and British American Tobacco (BAT), who have a joint ownership of Skandinavisk Tobakskompagni, have agreed that BAT acquires Skandinavisk Tobakskompagni’s cigarette business, while Skandinavisk Holding acquires BAT’s shares in Skandinavisk Tobakskompagni. Skandinavisk Holding continues its ownership and activities within ST Cigargroup, Fritz Hansen, Dagrofa, Tivoli and other activities.

The total value of Skandinavisk Tobakskompagni has by the parties been agreed at approximately DKK 27.5 bn.

Færch Holding wished to focus 100 % on the company’s own activities, including Færch Plast. ATRIUM has for a longer period of time acted as strategic, business and financial advisor to the Færch group, including the ownership of Skandinavisk Holding and Skandinavisk Tobakskompagni.

In 2006, the Færch group had revenues of DKK 826 m and a net result of DKK 222 m. Færch Holding is the parent company of Færch Plast.

Skandinavisk Tobakskompagni had revenues of DKK 42 bn in 2006/07 and a net result of DKK 2.3 bn.

ATRIUM has acted as exclusive financial advisor to Færch Holding and has ensured that Færch Holding has obtained an attractive price for its shareholding in Skandinavisk Holding.
