Financial advisor to Topsil in connection with rights issue

Topsil Semiconductor Materials manufactures ultrapure premium quality silicon for use in the semiconductor industry. Topsil is a global leader in its niche.

Topsil had an aggressive growth strategy and had experienced a strong increase in demand, resulting in the company wanting to strengthen its capital base in order to implement the strategy through a significant expansion of the production capacity.

The company had gone through a turnaround and therefore wanted the current shareholders to participate in the share issue. The shareholder structure was scattered, and the company saw a growing interest from institutional investors.

ATRIUM therefore assembled a consortium of institutional investors to underwrite the issue and helped allocate the rights. The rights issue of DKK 94 m was 100 % underwritten by Realdania, Chr. Augustinus Fabrikker, Small Cap Danmark, LD Invest and Topsil’s principal bank.

ATRIUM was lead manager and responsible for organizing the issue, including communication and coordination with the FSA and NASDAQ OMX Copenhagen and the preparation of the prospectus and other materials.
